This Non-Disclosure Agreement ("NDA") is entered into between MediaKit.biz ("Company") and the
undersigned Staff Member ("Staff").
1. Purpose of Agreement
To protect confidential and proprietary information during staff member's engagement with
MediaKit.biz's development, operations, and business activities.
2. Definition of Confidential Information
Confidential Information specifically includes, but is not limited to:
- AI algorithms and machine learning models
- Platform architecture and source code
- Database structures and data processing methods
- Business strategies and monetization plans
- Unreleased features and development roadmap
- Internal communications and documentation
- User data protection methodologies
- Financial projections and metrics
- Partnership and investment details
- Marketing strategies and launch plans
3. Non-Disclosure Obligations
Staff agrees to:
- Maintain strict confidentiality of all company information
- Use confidential information solely for company duties
- Prevent unauthorized access or disclosure
- Return all materials upon termination
- Report any potential security breaches immediately
- Not develop competing products for 2 years
4. Intellectual Property
All work products, innovations, and improvements developed during employment remain the exclusive
property of MediaKit.biz.
5. Term and Termination
This NDA remains in effect for 5 years after employment ends. Violations may result in immediate
termination and legal action.
6. Legal Consequences
Breach of this NDA may result in:
- Immediate termination of employment
- Legal action for damages
- Injunctive relief
- Financial penalties up to $250,000
